Borenius advised the banks on NoHo Partner’s EUR 50 million senior secured notes issue and EUR 97 million term loan and revolving credit facilities

We advised OP Corporate Bank plc as sole lead manager and bookrunner on the issuance by NoHo Partners Plc (“NoHo Partners”) of EUR 50 million senior secured floating rate notes. The notes bear interest at a rate of three-month EURIBOR plus a margin of 4.375 per cent. per annum, and they will mature in 2030. The net proceeds of the notes issue will be used to refinance existing indebtedness of NoHo Partners and for general corporate purposes.

We also advised a group of lenders led by OP Corporate Bank plc as arranger and coordinator on a new EUR 97 million senior term and revolving credit facilities agreement entered into in connection with the issuance of the notes. The new facilities agreement will replace NoHo Partners’ existing loan agreement.

The notes and the new facilities will be secured by common transaction security granted by NoHo Partners and certain of its subsidiaries. The notes will be listed on the Nasdaq Helsinki main market.

NoHo Partners is a leading Finnish restaurant services group owning approximately 300 restaurants in Finland, Denmark, and Norway. NoHo Partners’ shares are listed on Nasdaq Helsinki.
